Pemberville Little League Association By-Laws
SECTION 1-Association Name:
The name of the Association shall be called the "Pemberville
Little League Association", also known as "P.B.S.A."
The Association is considered a “not for profit”
organization. The gross
receipts must be under $25,000.00 per year to qualify.
SECTION 2- Mission Statement:
“Our mission is to create a wholesome environment for children to
learn basic skills, sportsmanship, respect and responsibility.”
SECTION 3-Association Membership:
Article 1 - Classes of Membership:
The Association shall consist of the following membership
classes:
A: Regular family membership.
B: Coaching membership.
Article 2- Regular Family
Membership:
A. Regular members shall have the right to full participation
in Association business, including the
right to voice opinions and vote on any motion
properly placed before the Association.
B. Family membership shall be open to all parents and
guardians of a child participating in
programs. They shall have the right to vote at membership meetings.
All votes must be
cast in person. Membership fees will be included with cost of
registration fees. Membership
runs from January 1 to December 31 of each calendar year. All fees
must be paid to be
eligible to vote at the general membership meetings to be held in
March and August of each year.
Article 3- Coaching Members:
A. Coaches without children participating in any of the
Association recreation programs shall
be granted honorary membership. They shall have full rights as
members and shall have the
right to vote on Association business.
Article 4 - Termination of Membership:
A. Any regular member may be called by the Board of Directors
to appear before them to
answer charges of unsportsmanlike conduct, conduct that may be
deemed inappropriate to
the association, and/or willful disregard of the by-laws. If the
Board of Directors finds the charges to
be true and recommends dismissal, said member will be considered
voted out of the Association.
B. The accused shall have the right to defend themselves and
plead their case before the
Board of Directors (Section.5 Article 2B). The accused shall have
seven (7) days from the
date of the accusation for the case to be heard by the Board of
Directors and disposed of a
decision rendered.
C. Families not paying registration fees and/or not turning
in Association equipment and/or
uniforms may not participate in any Association activities until
such situation is corrected.
SECTION 4- Governing Body
of the Association:
Article 1-Composition of
Officers:
The Association shall
consist of the following elected officers:
President
Vice-President of Softball
Vice-President of Baseball
Secretary
Treasurer
The Board of Directors
shall consist of the following appointed Directors:
Director of Concessions
Director of Field Maintenance & Equipment
Director of Membership and Uniforms
Director of Umpires
Article 2 Board of
Directors:
A. The Board of Directors
shall consist of the following persons:
1) The four (5) elected officers and the (4) Director
positions listed in Article 1 above.
2) The immediate past President.
B. The past president, by
virtue of their past presidency, shall be a member of the Board of
Directors for the ensuing year. They shall act in an advisory
capacity and as a consultant.
Article 3-Duties of the Board of Directors:
A. The Board of Directors shall act as the governing body of
the Association and shall supervise all of its affairs. It shall
have the power to fill vacancies created by the resignation or
removal of any of the officers unfilled by general election.
A Board member may be removed from his position by two-thirds (2/3)
vote of the board of Directors for the following reasons:
1) Refusal to uphold the decisions or policies of the Board.
2) Conduct unbecoming a person involved in administering a
youth sports program.
3) Any action intended to disrupt, hinder or deceive the
Board in the performance of its duties.
4) Refusal or inability to perform duties in an adequate
manner for the benefit of the Association.
The Board of Directors
shall execute the mandates and policies of the Association as
determined by its members. It shall act in accordance with these
by-laws and shall have full power and authority to perform acts and
transact business for and on behalf of the Association.
B. The President shall preside at all regular and special
meetings of the Association and of the Board of Directors and may
call such special meetings of the Association and the Board of
Directors, as they deem necessary. The President shall appoint such
special committees as may be necessary at the discretion of the
Board of Directors and shall fill such vacancies as may occur on the
standing committees.
C. The Vice-President of Softball shall perform such duties
as assigned to them by the President or the Board of Directors.
They are responsible for the softball program and that all
coaches are aware of the rules of girls fast-pitch softball
according to ASA and governing league rules.
This person will also
serve as commissioner of any League girls softball tournaments held
at the Pemberville Little League facility.
D. The Vice-President
of Baseball shall perform such duties as assigned to them by the
President or the Board of Directors.
They are responsible for the baseball program and that all
coaches are aware of the rules of boys baseball according Little
League baseball and governing league rules.
This person will also
serve as commissioner of any League boys baseball tournaments held
at the Pemberville Little League facility.
E. The Secretary
shall maintain a list of the Board of Directors and keep the minutes
of all meetings of the Association.
The Secretary shall be the custodian of all previous records
and shall have charge of all papers pertaining to the Association.
The Secretary shall be responsible for preparation of all
correspondence.
F.
The Treasurer shall receive all monies and dues and
shall pay all bills of the Association.
The office shall maintain all monies and dues received by the
Association and prepare financial statement for members for the
Association meetings.
G. The Director of
Concessions shall be responsible for the Concessions.
They will be responsible for hiring a concessions manager on
the approval of the board of directors.
This directorship is appointed by the league officers.
H. The Director of Equipment and Field Maintenance shall be
responsible for acquiring, standardizing, maintaining, up keeping,
storing and issuing of all athletic equipment and be responsible for
field maintenance and repairs.
This director will be the contact person for any issues
regarding the fields with the Eastwood School and Village of
Pemberville. This
directorship is appointed by the league officers.
I. The Director of Membership and Uniforms shall be
responsible for maintaining a file or listing of all Association
members and their status.
A copy of membership records must be filed with the Secretary
and the Director of Concession.
Based on the registration numbers the director shall order
all team uniforms which will include hats and shirts for baseball,
and visors and shirts for softball.
This directorship is appointed by the league officers.
J.
The Director of Umpires shall be responsible for the
training and scheduling of all umpires for the home games of the
Pemberville teams.
This director will also be responsible for organizing the team
photos. This
directorship is appointed by the league officers.
Article 4-Election of the Board of Directors:
A. Any regular member or lifetime member on in good standing is
eligible for nomination as a member of the Board of Directors.
Election of officers will take place at the end-of-season
meeting held in August.
B. Elected
positions are President, Vice-President of Softball, Vice-President
of Baseball, Secretary, and Treasurer. Representative nominees shall
be elected by the largest vote.
1) A vote will be taken on each officer and representative.
2) A run-off shall be held for officers to obtain a clear
majority of votes. The two (2)
nominees obtaining the highest number of votes for each
office shall be used for the run-off.
C. Officers and
representatives shall be elected for a term of one (1) year and will
assume their duties immediately subsequent to their election.
Officers, Directors and representatives shall not be restricted from
consecutive terms of office.
D. The officers will
then appoint the Director positions at the end-of-season meeting.
SECTION 5-Meetings for
Regular Membership and Board of Directors:
Article 1-Regular
Meetings:
A. Regular General meetings of the Association shall normally be
held at the beginning of the season in March and end of the season
in August.
Article 2- Special
Meetings:
A. Special meetings of the Association may be called provided a
posted notice to all regular members is given at least seven (7)
days in advance. Twenty (20) regular members (verifiable) may submit
a detailed petition listing only the specific rules and/or By laws
violations to the President for a special meeting at any time of the
year. At the special meeting the Board will hear the petition. There
will be no decision made or voting of any kind on the matter at that
time. The board will reconvene within ten (10) days and render a
decision. The petitioner will be notified within (3) days of the
Board’s decision. If it is determined that the petition requires a
rule change, rules will not be changed during the season. At the
conclusion of the season, the rules committee will meet and make any
necessary changes to the rules prior to the start of a new season.
B. Special meetings of the Board of Directors may
be requested by any Board member and called by the President upon
notice to all Board members. Meeting will be held within one (1)
week.
Article 3- Quorums:
A. A quorum for a general membership
meeting shall consist of all regular members present and at least
three (3) Board members present at the meeting.
B. A quorum for a regularly scheduled Board of Directors meeting
shall consist of the President or Vice President and all Board
Members present at the meeting.
C. A quorum for Special meeting shall consist of at least 51% of the
Board members.
SECTION 6- Finances:
Article 1- Income:
All monies received on behalf of the Association by any member,
whether by contribution, donation, fund raising, or from any other
sources whatsoever, shall be turned over to the Treasurer to be used
and devoted to the business of the Association. Prior approval of
the Board of Directors must be received before any solicitation of
funds may be undertaken. Cost of player registration fees shall be
determined by the Board of Directors at the first Board meeting in
August for the next season.
Article 2- Checking and Savings Account:
A. The Association will maintain accounts in the Union Bank,
Pemberville, Ohio. All expenditures for this Association shall be
made by check drawn on the Association's account or accounts.
Article 3-Co-Signer:
The Treasurer, jointly with the President or Vice-President, must
co-sign all checks issued in the name of the Association over
$2,000.00.
Article 4- Budget:
A. The following persons are responsible for presenting a list
of potential expenses for the new season at the first meeting of the
new season so that budget preparations can be made by the Treasurer.

Softball
2. Vice-President of
Baseball
3. Director of
Concessions
4. Director of Field
Maintenance & Equipment
5. Director of
Membership and Uniforms
6. Director of Umpires
B. A budget shall be
prepared and presented at the March meeting of the new Board of
Directors and shall be approved by the Board. Proposed expenditures
for equipment, awards and the like shall be projected for the coming
year. The Board of Directors, working within the framework of the
adopted budget, shall have the authority to realign budget
expenditures.
C. Expenditures over and above budgeted expenditures that exceed
$_________shall require the approval of the Board of Directors.
D.
The combined total of the checking, savings, saving
certificates should stay above $5,000.00.
SECTION 8- Composition of
Teams:
Article 1-Sports Programs:
A. Rules of play and age limits shall
be governed by the Southwood Recreation League for baseball and
softball except where modified by Association policy.
B. Rules of play and age limits shall be governed by Association
policy for T-Ball.
C. The Board of Directors shall have the power to suspend (or
reinstate) any sport for lack of interest or other legitimate cause.
Board positions pertaining to suspended sports will not be filled.
SECTION 9- Team Uniforms &
Equipment:
Article 1-Uniform Styles:
A. All PBSA teams uniforms shall be
standardized, if at all possible. They shall be purchased in “off
the shelf” styles whenever possible. Uniforms provided by the
Association will include shirts, hats, or visors. Teams will be
responsible for selection and purchase of pants, shorts and socks.
The color of all parts of the uniform shall match or compliment the
complete uniform. The
tradition has been Boys logo is in gray with baseball gray pants and
hats. Girls softball
logo is navy with navy shorts and visor.
B. All uniforms shall
designate the team as being from “Pemberville” in an appropriate
uniform fashion.
Article 2- Equipment Custody:
A. Equipment shall be for the sole use of the members of an
Association team.
B. Equipment shall be returned to the Director of Equipment & Field
Maintenance at the August membership meeting.
It is the coach's responsibility to ensure that all Equipment
checked out to his team is returned.
SECTION 10-End of Season Functions:
End of season functions shall be held as soon as practicable to
ensure all such activities are completed within thirty (30) days
after the last game of the season. All monetary requirements for
team-scheduled functions shall be the sole responsibility of the
individual teams scheduling these functions.
All reimbursement for the current season must be submitted to
the Treasurer by September 30 of the current year.
SECTION 12- Amendments to These By-Laws:
Amendments to these by-laws shall require a two-thirds (2/3)
vote for approval by the members present at a general membership
meeting. Any amendment to these by-laws shall be entered in the
appropriate Section and Article to which it applies.
